CIPC annual returns and beneficial ownership
Filed within 30 business days of your incorporation anniversary, at the correct turnover band, with the beneficial ownership register lodged alongside it. The deadline nobody remembers, tracked for you.
The obligation in one paragraph
Every company and close corporation registered in South Africa must file an annual return with the Companies and Intellectual Property Commission within 30 business days of the anniversary of its incorporation date. The fee is calculated on annual turnover. The return confirms the company still exists and that its details are current. It is entirely separate from your SARS income tax return, and filing one does nothing for the other.
What happens when you do not file
- Non compliant status. The company shows as in non compliance on a CIPC search. Banks, insurers, funders and prospective clients running due diligence will see it.
- AR Deregistration. CIPC begins the deregistration process for annual return non compliance.
- Final deregistration. The company ceases to exist as a legal person. Bank accounts are frozen, contracts become unenforceable, and any assets it holds pass to the state as bona vacantia.
- Restoration. Getting it back requires a formal application with supporting evidence, an advertisement, and all outstanding returns filed anyway, at a cost well above what compliance would have been.
The frequent version of this story is an owner who discovers the status only when an attorney runs a company search during a property transfer or a sale, at which point a deal is sitting on hold for weeks.
Beneficial ownership
Since 2023 companies must file and maintain a beneficial ownership register with CIPC, identifying the natural persons who ultimately own or control the company. It is lodged with the annual return and must be updated within the prescribed period whenever the ownership picture changes.
Where ownership runs through holding companies or trusts, the register has to look through those structures to the individuals behind them, which is exactly where the filings we inherit tend to be wrong. Banks now check the register as part of their own anti money laundering obligations, so an incorrect or missing filing can hold up account opening and credit applications.
What it costs
The CIPC fee itself is set on a turnover scale and is modest for a small company, rising as turnover increases. Late filing does not attract a penalty in the SARS sense, but the outstanding fees for every unfiled year remain payable, and the deregistration process runs regardless. Market rates for preparing and lodging the return run from around R450 to R1,200 plus the CIPC fee. Where PayStream does your accounting, it is included in the monthly plan and simply happens in the right month.
What else we lodge
- Director appointments, resignations and removals, with the supporting resolutions on file
- Share issues and transfers, share certificates and the securities register
- Registered address, company name and financial year end changes
- Memorandum of Incorporation amendments
- Company registration for new entities, including SARS and payroll registrations at the same time
- Restoration of deregistered companies, and voluntary deregistration where a company genuinely needs to be closed
How we keep it from slipping
CIPC deadlines run off incorporation date rather than a tax year, so they land on a date with no other significance to your business and nothing prompts you. We hold the anniversary date for every entity we act for, file in that month, and keep the beneficial ownership register updated when we are told about an ownership change. Where you have several entities, they are tracked as a group so none of them quietly lapses.

Questions
CIPC annual returns: common questions
When is my CIPC annual return due?
Within 30 business days of the anniversary of your company's incorporation date. It is not linked to your financial year end or to your SARS filing dates, which is precisely why it is so often missed.
What is the difference between a CIPC annual return and a SARS tax return?
The CIPC annual return confirms the company still exists and keeps it on the register. The SARS ITR14 declares taxable income. They go to different bodies on different dates for different purposes, and filing one has no effect on the other.
What does a CIPC annual return cost?
The CIPC fee is calculated on annual turnover, starting low for small companies and rising with turnover. Preparation and lodgement typically costs R450 to R1,200 on top of that at market rates, and is included in a PayStream monthly plan.
My company has been deregistered. Can I get it back?
In most cases yes. Restoration requires an application to CIPC with supporting evidence, usually proof that the company was trading or holds immovable property, a placed advertisement, and all outstanding annual returns filed. It takes time, so start as soon as you discover the status.
Do close corporations still file annual returns?
Yes. Existing close corporations continue to file annual returns with CIPC even though no new ones can be registered. The same deregistration consequences apply.
What is beneficial ownership and who has to file it?
Every South African company must file a beneficial ownership register identifying the natural persons who ultimately own or control it, lodged with the annual return and updated when ownership changes. Where ownership runs through companies or trusts, the register must look through to the individuals behind them.
